Establishment of Strategic Relationships with the INTERSPORT Group
The licensing contracts were signed in autumn 2005 (i.e. a sublicensing contract with INTERSPORT and an exclusive trade mark sublicensing contract) with INTERSPORT Deutschland eG (IDE) that acted on behalf of the owner of the trade marks, i.e. INTERSPORT International Corporation (IIC). The signature of the contracts resulted in the Company’s exclusive rights in the territory of Poland to: (1) use the INTERSPORT trade mark, (2) sell products under own INTERSPORT brands and (3) to develop a franchise network under the name INTERSPORT.
An investment contract was also signed in 2005 whereby INTERCONTACT Werbeagentur GmbH (ITC, a subsidiary owned in whole by IDE) acquired shares in INTERSPORT Polska S.A. – 25% of its issued capital with attached 25% of votes at general meetings. Since August 2006, INTERSPORT Polska S.A. has been a member in a co-operative established under German law: INTERSPORT Deutschland eG (IDE). Thus, INTERSPORT Polska S.A. has become the sole Polish business partner of the INTERSPORT Group.
